These terms are the agreement between you and Islarium Ltd ("we", "us") for using Plan-Zero — our website and the Plan-Zero app (together "the Service"). By creating an account or using the Service, you agree to them. If you use the Service for an organisation, you confirm you're allowed to accept these terms on its behalf, and "you" includes that organisation.
Islarium Ltd is a company registered in England and Wales (company number 17525132), registered office 71–75 Shelton Street, Covent Garden, London WC2H 9JQ. Contact: hello@plan-zero.com.
1. For business use
Plan-Zero is a professional tool for businesses and people working in a trade or profession. If you use it as a consumer, nothing in these terms affects your legal rights as a consumer.
2. The beta
Plan-Zero is in beta. That means features may change, be added or removed, and you may find bugs. During the beta the Service is free. We'll give you at least 14 days' notice before paid plans start, and you can then choose a paid plan or carry on with the Free plan. Please keep your own copies (exports) of anything important, as we can't guarantee work won't be lost during the beta.
3. Your account
- Give us accurate details and keep them up to date.
- Keep your sign-in secure — you're responsible for what happens in your account.
- Accounts are for one person each. Your organisation can have several accounts.
- Tell us straight away at support@plan-zero.com if you think someone else is using your account.
4. Plans, fees and payment
This section applies once paid plans are available.
- Plans, prices and what each includes are shown on our pricing page. Prices exclude VAT, which is added where it applies.
- Paid plans are billed in advance, monthly or yearly, through our payment provider Stripe, and renew automatically until cancelled.
- You can cancel at any time. Your plan then runs until the end of the period you've paid for. We don't refund part-periods, except where the law requires it.
- We may change prices with at least 30 days' notice; the new price applies from your next renewal.
- If a payment fails and isn't sorted out, we may move your account to the Free plan.
- Each plan has limits, such as the number of projects and the amount of storage. If you move to a plan with lower limits, content above the limit is kept but you may not be able to add to it.
5. Your content
You own the projects, units, products, artwork, files and other content you create or upload ("your content"). You give us permission to store, copy, process, display and send your content only as needed to provide and improve the Service and to do what you ask (for example, when you share a project or export it).
You confirm that you have the rights needed for your content — including any brand names, logos, packaging artwork and product images in it — and that it doesn't break the law or anyone else's rights. We treat your content as confidential and only use it as these terms and our privacy policy describe.
6. Sharing
When you share a project, the people you share it with can see it (and, where the feature allows, comment on it). You decide who to share with and you're responsible for sharing appropriately, especially where a project contains a client's confidential packaging.
7. Library requests
If you send products to be added to a shared product library, you give us a worldwide, non-exclusive, royalty-free and permanent licence to review, adapt (for example, optimise) and include them in Plan-Zero's libraries for other users. You confirm that you own the products or have permission from their owner to do this. We may decline a request, or remove a product from a library, at any time.
8. Product libraries and trademarks
Product libraries show products and brands that belong to their owners, for planning and presentation. Showing them doesn't mean their owners endorse Plan-Zero. You may use library models within the Service and in the images, PDFs and presentations you make with it, but you must not extract, copy, share or sell the library files themselves, or use them outside the Service. Private libraries may only be used by the organisations they're made available to.
9. Acceptable use
You must not:
- upload anything unlawful, harmful or that infringes someone else's rights;
- try to get around the Service's limits, security or access controls, or access other people's accounts or content;
- copy, scrape, reverse engineer or resell the Service, or use it to build a competing product;
- upload viruses or malicious code, or put an unreasonable load on our systems;
- use the Service to harass anyone or to send spam.
10. Our intellectual property
The Service — including its software, design, built-in units and products, the unit and product generators and the Plan-Zero name and logo — belongs to Islarium Ltd or our licensors. We give you a personal, non-transferable right to use it in line with these terms while your account is open.
11. Availability and changes
We work hard to keep the Service running smoothly, but we can't promise it will always be available or free of errors, and we may need to pause it for maintenance. We may improve or change the Service over time. Unless we agree otherwise in writing (for example, in an Enterprise agreement), the Service is provided without any guaranteed level of service.
12. Ending your use
You can stop using the Service and close your account at any time. We may suspend or close your account if you seriously or repeatedly break these terms, don't pay, or put the Service or other users at risk; where it's reasonable, we'll warn you first. When an account closes, you'll have 30 days to export your content, after which we delete it as described in our privacy policy.
13. Our responsibility to you
- Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit.
- We're not responsible for indirect or consequential losses, or for loss of profit, revenue, business, goodwill or data.
- Planograms and AR views are planning tools: check measurements before buying, building or installing anything.
- Otherwise, our total liability to you in any 12 months is limited to the greater of the fees you paid us in those 12 months and £100.
14. Claims about your content
If someone makes a claim against us because your content infringes their rights or breaks the law, you agree to cover our reasonable costs of dealing with it.
15. Changes to these terms
We may update these terms from time to time. We'll tell you about important changes by email or in the app at least 14 days before they take effect. If you keep using the Service after that, the new terms apply.
16. General
- These terms, together with our privacy policy and anything you agree with us in writing, are the whole agreement between us about the Service.
- If any part of these terms can't be enforced, the rest still applies. If we don't enforce a term straight away, we can still do so later.
- You can't transfer your rights under these terms without our agreement. We may transfer ours to another company, for example if our business is sold.
- No one else has any rights under these terms (the Contracts (Rights of Third Parties) Act 1999 doesn't apply).
- These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any disputes.
